Norgips sp. z o.o. General Terms and Conditions of Deliveries and Complaints
COMMERCIAL COOPERATION AGREEMENTS
Commercial relations between Norgips spółka z ograniczoną odpowiedzialnością of Warsaw (02-634), ul. Racławicka 93, KRS (National Court Register) number: 0000529680 (“NORGIPS”) and the Buyer are established exclusively under “Commercial Cooperation Agreement” executed by the parties.
1. Orders are placed via the e.Norgips.pl platform, in accordance with its terms and conditions, or in writing, including by fax or e-mail, and are carried out by the NORGIPS Commercial Department in Opole, which is also the location of storage and production facilities for NORGIPS products.
2. For an order to be accepted, it must be confirmed by NORGIPS, electronically or via the e.Norgips.pl platform. If an order is not confirmed by NORGIPS, the order is rendered completed by delivering the goods to the Buyer or his representative (e.g. a carrier).
3. Order volume It is assumed that the average order volume is 22 (twenty-two) tonnes of plasterboards. Following previous arrangements, mixed deliveries are possible, e.g. plasterboards plus accessories. However, the value of such deliveries must be at least PLN 12,000.00 (twelve thousand) net and the minimum volume is 12 (twelve) tonnes.
4. Special orders Goods can be delivered to the Buyer on special terms and conditions agreed by NORGIPS and the Buyer. These terms and conditions may concern the following forms of completing the order that can be used both jointly and separately:
unloading with NORGIPS equipment (arrangements by phone are possible);
special unloading (e.g. at heights) using NORGIPS equipment;
just-in-time unloading (at a precisely defined time in an unloading location);
unloading in several locations defined by the Buyer.
Goods are delivered using NORGIPS means of transport and at its cost. For special orders (e.g. unloading with NORGIPS equipment), the Buyer is informed about additional costs. Goods may be picked up by the Buyer with his own means of transport once the date, order volume, means of transport, and price have been agreed with NORGIPS. In such a case, ex works terms apply, i.e. any risk of product loss or damage is transferred to the Buyer at the moment of handing over the goods from the NORGIPS warehouse.
NORGIPS shall deliver the goods on time and to the location in the Republic of Poland specified by the Buyer. The Buyer must be informed about any and all possible delays resulting from unforeseeable circumstances. Such circumstances include force majeure (production disruptions, floods, fires, etc.) or unforeseeable random events (e.g. car accidents).
The Buyer must unload the goods at the place of delivery using the relevant equipment (forklifts), exercising particular caution. If goods are unloaded using NORGIPS equipment (for special orders), the risk of damaging the goods during unloading rests with NORGIPS. The Buyer must unload goods without undue delay, and if such delay occurs through the fault of the Buyer, the Buyer must cover the documented costs.
The Buyer must keep foil-wrapped goods purchased under the Commercial Cooperation Agreement on pallets and under roof and must use them in line with the NORGIPS documentation and recommendations available at http://www.norgips.pl/. Proper storage of foil-wrapped pallets is the exclusive responsibility of the Buyer.
All complaints regarding the quality of goods must be made using a special form signed by the representatives of the Buyer and NORGIPS. In the case of more serious reservations regarding product quality, such elements as additional photo documentation and samples of allegedly faulty goods must be provided. The deadlines for making complaints are specified in the Commercial Cooperation Agreement. If specialists tests must be carried out or expert opinions must be produced, the deadline for examining a complaint may be extended; however, by not more than 30 days.
Complaints will be examined in line with the Polish Norms. NORGIPS reserves the right to reject a complaint if the goods were incorrectly stored or used in discordance with the intended purpose or the NORGIPS recommendations and instructions available at http://www.norgips.pl/.
